Terms of Service

These Terms of Service (“Terms”) govern your use of the Renyu website, app and programmes (together, the “Services”) provided by Renyu (“Renyu”, “we”, “us” or “our”). By using the Services you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind that organisation.
Renyu is a trading name. Our registered company name and number will be added here on incorporation. These Terms are a starting framework and should be reviewed by a qualified legal adviser before a programme is sold.
1. The Services
Renyu provides a four-week team engagement programme delivered through an app, in which participants log everyday environmental actions to earn points, climb leaderboards, and where the participating organisation makes a guaranteed donation to a verified environmental partner. Specific deliverables, fees and dates are set out in a separate order or written agreement between Renyu and the organisation (the “Order”). If an Order conflicts with these Terms, the Order prevails.
2. Accounts and acceptable use
- You must provide accurate information and keep your login secure.
- You must not misuse the Services, including by submitting unlawful, offensive, infringing or misleading content, attempting to manipulate points or leaderboards, or interfering with the platform’s operation or security.
- You are responsible for content you upload and confirm you have the right to share it. We may remove content that breaches these Terms.
3. The donation
The donation amount is committed by the participating organisation as set out in the Order, and is guaranteed from the point the Order is signed. The competition determines which of Renyu’s vetted partners receives the donation; it does not determine whether the donation is made. Donations are directed to the chosen partner in accordance with our partner arrangements. Renyu is a commercial provider, not a charity. Some of our partners are Gift Aid registered charities and some are not. The tax treatment of any donation is set out in the Order. Where a client wishes to pursue Gift Aid, we can tailor the partner options for their programme to include only Gift Aid registered charities.
4. Fees and payment
Fees for a programme are set out in the Order. Unless stated otherwise, fees are exclusive of VAT, invoiced as described in the Order, and payable within the period stated. The split between Renyu’s service fee and the donation element will be made clear in the Order.
5. Intellectual property
Renyu and its licensors own all rights in the Services, including the software, design, branding and content we provide. We grant the organisation and its participants a limited, non-exclusive, non-transferable right to use the Services for the duration of a programme. You retain ownership of content you upload, and grant us a licence to host, display and use it to operate the Services and, where you have agreed, to showcase programme impact.
6. Availability
We aim to keep the Services available and working, but we do not guarantee uninterrupted or error-free operation. We may update, suspend or withdraw features, and will give reasonable notice of material changes affecting an active programme where we can.
7. Disclaimers
The Services are provided “as is” and “as available”. To the extent permitted by law, we exclude all implied warranties. Nothing in these Terms excludes liability that cannot be excluded under law, including for death or personal injury caused by negligence, or for fraud.
8. Limitation of liability
Subject to section 7, our total liability arising out of or in connection with a programme is limited to the fees paid for that programme. We are not liable for indirect or consequential loss, or for loss of profits, revenue, goodwill or anticipated savings.
9. Termination
Either party may terminate as set out in the Order, or immediately on written notice if the other commits a material breach that is not remedied within 14 days, or becomes insolvent. The donation commitment for a programme already underway survives termination unless otherwise agreed in writing.
10. Data protection
Our handling of personal data is described in our Privacy Policy. Where Renyu processes personal data on behalf of an organisation, a separate data processing agreement applies.
11. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless a different jurisdiction is required by mandatory local law.
